Terms of Service

1. Introduction and Scope

These Terms of Service ("Terms") govern your access to and use of TaskAdmin ("the Service"), operated by Jon Cursi LLC. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

These Terms apply to the following types of users:

  • Business Customers: Small businesses and organizations that engage Jon Cursi LLC to configure and deploy AI agents, including customer-facing AI agents on their websites and Internal AI agents within their team communication platforms and business systems
  • End Users: Visitors and customers who interact with customer-facing AI agents embedded on Business Customer websites
  • Authorized Users: Team members and individuals granted access by a Business Customer to interact with Internal AI agents deployed within their organization

2. Description of Service

TaskAdmin provides AI agent deployment and management services for small businesses. The Service includes two categories of AI agents:

Customer-Facing AI Agents enable Business Customers to:

  • Embed AI-powered chat widgets on their websites to provide automated customer support, answer inquiries, and facilitate bookings
  • View analytics and conversation logs from End User interactions
  • Configure tools and integrations to extend agent capabilities

Internal AI Agents enable Business Customers to:

  • Deploy AI agents within team communication platforms (such as Slack, Microsoft Teams, or Discord) and connected business systems
  • Automate internal workflows, generate content, manage communications, and perform operational tasks within systems the Business Customer explicitly grants the agent access to
  • Configure the level of autonomy, from draft-and-review workflows to fully autonomous operations, based on the Business Customer's preferences

Each deployment is customized to the Business Customer's specific needs and requirements. End Users interact with customer-facing AI agents through embedded chat widgets without requiring account creation.

3. Business Customer Accounts

TaskAdmin is managed on behalf of Business Customers by Jon Cursi LLC. Account creation is not required to receive the Service. Business Customers may optionally create an account to access analytics and conversation data directly. By engaging Jon Cursi LLC as a Business Customer, you represent that:

  • You are at least 18 years of age
  • You have the authority to bind your organization to these Terms
  • All information you provide is accurate and complete

If you create an account, you are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4. Business Customer Responsibilities

As a Business Customer, you are responsible for:

  • Agent Content: The prompts, instructions, and knowledge you provide to configure your AI agents. You must ensure this content is accurate, lawful, and does not infringe on third-party rights.
  • Compliance: Ensuring your use of the Service complies with all applicable laws and regulations, including consumer protection and privacy laws.
  • Conversation Data: Managing access to conversation logs and analytics in accordance with your own privacy policies and applicable data protection laws.
  • End User Reliance: Any consequences arising from End Users relying on AI-generated responses on your website. Jon Cursi LLC is not liable for harm caused by End Users acting on AI outputs deployed through your agents.
  • System Access Decisions: Determining what systems, tools, data, and communication platforms your Internal AI agents are granted access to, and the scope of that access. You assume all risk associated with the access you choose to grant.
  • Autonomy Level: Determining how autonomously your AI agents operate, including whether agents submit work for your review and approval or take actions independently. You are responsible for the outcomes of the autonomy level you choose.
  • Authorized User Management: Controlling which team members and individuals have access to interact with your Internal AI agents. You are responsible for all interactions between your Authorized Users and your Internal AI agents.
  • Third-Party Platform Compliance: Ensuring that your AI agents' actions within connected third-party platforms comply with those platforms' terms of service and acceptable use policies.

5. Internal AI Agents

In addition to customer-facing AI agents, the Service may include Internal AI agents deployed within the Business Customer's team communication platforms and connected business systems. By deploying Internal AI agents, Business Customers acknowledge and agree to the following:

  • Internal AI agents have no access to any systems, tools, or data by default. All access is explicitly configured in collaboration with the Business Customer based on their specific needs and requirements.
  • The Business Customer solely determines what systems, tools, data, and communication platforms the Internal AI agent is granted access to, the scope of that access (read-only, read-write, or action-taking), and the level of autonomy the agent operates with.
  • AI agents may be susceptible to producing unintended results based on ambiguous, misleading, or adversarial inputs — whether provided inadvertently or intentionally — by Authorized Users or third parties who interact with or gain access to the agent. The Business Customer assumes all risk associated with inputs provided to the Internal AI agent.
  • Jon Cursi LLC is not liable for any actions taken by an Internal AI agent within systems, platforms, or tools that the Business Customer authorized the agent to access, including but not limited to sending communications, publishing content, modifying data, processing files, or executing automated workflows.
  • Depending on the deployment configuration, Internal AI agents may use third-party AI providers or locally-deployed models for inference processing. The choice of model and infrastructure is made in collaboration with Jon Cursi LLC based on the Business Customer's requirements, privacy preferences, and budget, and this choice affects data privacy and processing.
  • The Business Customer is solely responsible for supervising and reviewing the actions and outputs of their Internal AI agents, and for maintaining appropriate oversight based on the level of autonomy they have chosen to grant.

6. End User Terms

By interacting with an AI chat agent powered by TaskAdmin, End Users acknowledge and agree that:

  • You are communicating with an AI agent, not a human representative
  • Your conversation messages are stored and may be reviewed by the Business Customer
  • AI responses are generated automatically and may not always be accurate or complete
  • You should not share sensitive personal information (such as passwords, financial details, or health information) through the chat. If you choose to provide personally identifiable information, you do so at your own risk.
  • Depending on the deployment, your conversation data may be processed by third-party AI providers (such as OpenAI or Anthropic) whose data handling practices are outside Jon Cursi LLC's control. By using the chat, you accept this risk.

7. Acceptable Use Policy

All users agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Distribute harmful, abusive, threatening, or harassing content
  • Attempt to circumvent security measures or gain unauthorized access
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for spam, phishing, or fraudulent purposes
  • Reverse engineer, decompile, or attempt to extract source code
  • Deliberately attempt to manipulate, exploit, or cause AI agents to take unintended actions through adversarial inputs or prompt injection techniques

We reserve the right to suspend or terminate access for violations of this policy.

8. AI-Generated Content and Actions

The Service uses AI to generate responses and, in the case of Internal AI agents, take actions within connected systems. Depending on the deployment, the Service may use third-party AI providers (such as Anthropic and OpenAI) or locally-deployed models on dedicated cloud infrastructure or customer-owned hardware. Regardless of the model, hosting arrangement, or deployment type, you acknowledge that:

  • AI responses are generated automatically based on the agent's configuration and conversation context
  • AI agents may take actions in connected systems automatically based on their configuration and the access granted by the Business Customer
  • We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content or AI-initiated actions
  • AI agents may occasionally produce incorrect, incomplete, or inappropriate responses, or execute unintended actions within connected systems
  • Users must independently verify any AI-generated information or review AI-initiated actions before relying on them, and accept full responsibility for any outcomes resulting from AI outputs or actions
  • Jon Cursi LLC bears no responsibility for decisions made, actions taken, or outcomes resulting from reliance on AI-generated content or actions performed by AI agents in connected systems
  • Business Customers are responsible for monitoring agent performance, reviewing AI actions, and addressing any issues that arise

9. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and protect data. By using the Service, you consent to the practices described in the Privacy Policy.

For Business Customers: You retain responsibility for informing your End Users about how their conversation data may be used and ensuring compliance with applicable privacy laws. You are also responsible for informing your Authorized Users about how their interactions with Internal AI agents may be logged and processed.

For End Users: Your conversations are stored and accessible to the Business Customer whose agent you interacted with. Conversation data is retained for 60 days before automatic deletion.

10. Intellectual Property

The Service, including its software, design, features, documentation, and all agent configurations, is owned by Jon Cursi LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

Business Customers are granted a license to use AI agents configured for them through the Service. This license is non-exclusive, non-transferable, and may be revoked at any time. All agent configurations, prompts, and related intellectual property remain the property of Jon Cursi LLC.

11. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT AI-GENERATED CONTENT WILL BE ACCURATE OR APPROPRIATE, OR THAT ACTIONS TAKEN BY AI AGENTS WITHIN CONNECTED SYSTEMS WILL BE CORRECT OR PRODUCE INTENDED RESULTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JON CURSI LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM AI-GENERATED CONTENT, AI-INITIATED ACTIONS IN CONNECTED SYSTEMS, SERVICE INTERRUPTIONS, ACTIONS TAKEN BY END USERS BASED ON AI RESPONSES, ACTIONS TAKEN BY INTERNAL AI AGENTS WITHIN SYSTEMS AUTHORIZED BY THE BUSINESS CUSTOMER, OR CONSEQUENCES OF ADVERSARIAL, MISLEADING, OR UNINTENDED INPUTS PROVIDED TO AI AGENTS BY AUTHORIZED USERS OR THIRD PARTIES.

14. Indemnification

Business Customers agree to indemnify and hold harmless Jon Cursi LLC from any claims, damages, or expenses arising from: (a) your use of the Service; (b) the content you provide for agent configuration; (c) your End Users' interactions with your agents; (d) actions taken by Internal AI agents within systems you authorized the agent to access; (e) interactions between your Authorized Users and Internal AI agents, including consequences of adversarial or unintended inputs; or (f) your violation of these Terms.

15. Termination

By You: Business Customers may close their account at any time by contacting us. Upon closure, your agent configurations will be deactivated and your data will be deleted according to our Privacy Policy.

By Us: We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms or the Acceptable Use Policy.

16. Changes to Terms

We may update these Terms from time to time. We will notify Business Customers of material changes by email or through the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of New Jersey.
